Terms of Service

1. Agreement
These Terms form a binding contract between server2agent, Inc. ("we") and the organization accepting them ("Customer"). By using the Service, Customer accepts these Terms and the Privacy Policy.
2. Service
The Service is an AI-assisted server operations platform consisting of: a signed agent installed on Customer servers, a central orchestrator, an admin web application, and a status page.
3. Customer responsibilities
- Maintain account credentials and configure MFA/Passkey on all admins.
- Provide accurate server, contact, and billing information.
- Obtain consent from individuals before listing their email/SMS as alert recipients.
- Use the Service only on servers Customer owns or is authorized to manage.
4. AI actions & approvals
Read-only investigations run automatically. Medium-risk actions require a single human approval; high-risk actions require two. Customer is solely responsible for approval decisions. We are not liable for business impact resulting from an approved action.
5. Fees and billing
Fees are billed monthly in USD via Stripe. Sales tax is added per US state where Customer is located. Annual prepay receives 15% discount. Overage is billed at rates listed on the pricing page. Payment by card or ACH. Past-due invoices may lead to Service throttling (read-only) after 14 days and suspension after 21 days.
6. Beta Service
The current release (us-atlanta-v1) is a beta. SLA is 99.5%. Credits for unmet SLA are issued as a percentage discount on the next invoice; no cash refund.
7. Acceptable use
- No attempting to reverse-engineer the Service beyond what is permitted by law.
- No using the Service to attack third-party systems.
- No processing special-category personal data without a separate DPA.
- Excessive volume not covered by the paid plan may be rate-limited.
8. Data ownership
Customer retains ownership of all Customer Data. We act as a processor. We may use aggregate, anonymized metrics to operate and improve the Service.
9. Confidentiality
Each party will protect the other's non-public information with at least the same care it uses for its own. Survives termination for 3 years.
10. Warranties & disclaimer
We warrant that the Service will materially conform to its documentation. Except as expressly stated, the Service is provided "as is" and we disclaim all implied warranties to the maximum extent permitted by law.
11. Indemnification
Each party will defend the other against third-party claims arising from its own breach of these Terms or violation of law, subject to prompt notice and reasonable cooperation.
12. Limitation of liability
Cap: Our aggregate liability is limited to the fees paid by Customer in the 12 months preceding the event. Excludes willful misconduct, breach of confidentiality, and statutory obligations where applicable. Indirect damages (lost profits, loss of goodwill) are excluded.
13. Term & termination
Month-to-month unless agreed otherwise. Either party may terminate for convenience with 30 days' notice, or immediately for uncured material breach. On termination, Customer can export data within 30 days; we delete PII within 60 days and provide a destruction certificate.
14. Governing law & disputes
Delaware law, excluding conflicts. Disputes in state or federal courts in Delaware. Each party waives jury trial. Class-action waiver except where prohibited.
15. Modifications
We may update these Terms with 30 days' notice by email and by posting the new version. Continued use after the effective date constitutes acceptance.
